1. Introduction

Welcome to CIG-Patna ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the CIG-Patna real estate investment platform, including our website, mobile application, and related services (collectively, the "Platform").

By registering an account, accessing, or using our Platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Platform.

2. Definitions

• "Platform" refers to the CIG-Patna investment platform, including all websites, applications, and services.
• "Investor" or "User" refers to any individual, corporate entity, SACCO, or institution that registers and uses the Platform.
• "Investment" refers to capital contributions made by Investors into specific real estate development projects.
• "Project" refers to real estate development opportunities available on the Platform.
• "CIG" refers to Chayim International Group, the development partner.
• "KYC" refers to Know Your Customer verification procedures.

3. Eligibility and Account Registration

3.1 Eligibility Requirements

To use the Platform, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Provide accurate, current, and complete information during registration
• Complete KYC verification as required
• Comply with all applicable laws and regulations

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring all information provided remains accurate and up-to-date

4. Investment Terms

4.1 Investment Process

Investments made through the Platform are subject to the following:

• All investments must be made through the Platform's designated payment methods
• Investments are subject to project availability and minimum investment amounts
• Returns are based on actual project performance and are not guaranteed
• Profit shares are calculated as a percentage of net profits from unit sales
• Investors receive returns only after project completion and unit sales

4.2 Profit Share

Profit sharing is structured as follows:

• Profit share percentages are specified for each project and may vary
• Maximum profit share is up to 40% of net profits
• Profit calculations are based on actual sales proceeds minus project costs
• Distributions are made in accordance with project completion timelines
• Tax obligations on returns are the responsibility of the Investor

4.3 Investment Risks

You acknowledge and understand that:

• Real estate investments carry inherent risks, including potential loss of capital
• Returns are not guaranteed and depend on market conditions and project success
• Project timelines may be subject to delays due to various factors
• You should consult with financial advisors before making investment decisions
• Past performance does not guarantee future results

5. KYC Verification and Compliance

All Investors must complete KYC verification before making investments. This includes:

• Providing valid identification documents
• Submitting proof of address
• Disclosing source of funds for investments
• Compliance with anti-money laundering (AML) regulations
• Ongoing monitoring and re-verification as required by law

We reserve the right to reject or suspend accounts that fail KYC verification or do not meet compliance requirements.

6. User Obligations and Prohibited Activities

You agree not to:

• Use the Platform for any illegal or unauthorized purpose
• Provide false, misleading, or fraudulent information
• Interfere with or disrupt the Platform's operation or security
• Attempt to gain unauthorized access to other accounts or Platform systems
• Reverse engineer, decompile, or disassemble any part of the Platform
• Use automated systems to access the Platform without authorization
• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of CIG-Patna or third parties

7. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, images, software, and documentation, is the property of CIG-Patna or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms.

8. Payment Terms

8.1 Payment Processing

All payments are processed through secure, third-party payment processors. We do not store your full payment card details.

8.2 Refunds

Investment payments are generally non-refundable once processed, except:

• As required by applicable law
• In cases of project cancellation before commencement
• As expressly provided in specific project terms

8.3 Fees

Platform fees, if any, will be clearly disclosed before you complete an investment transaction.

9. Limitation of Liability

To the maximum extent permitted by law:

• CIG-Patna acts as a platform facilitating investments and is not responsible for project outcomes
• We do not guarantee investment returns or project success
• Our liability is limited to the amount of fees, if any, paid by you to us
• We are not liable for indirect, incidental, or consequential damages
• We are not responsible for delays or failures due to circumstances beyond our control

10. Account Termination

We may suspend or terminate your account if:

• You breach these Terms
• You provide false or fraudulent information
• You fail to complete required KYC verification
• Required by law or regulatory authorities
• For any other reason at our sole discretion

You may terminate your account at any time by contacting us. Termination does not affect your existing investments or obligations.

11. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through:

• Good faith negotiation between parties
• Mediation if negotiation fails
• Arbitration in accordance with Kenyan arbitration laws, if mediation fails
• Jurisdiction of Kenyan courts for legal proceedings

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified through:

• Email notification to registered users
• Notice on the Platform
• Updated "Last updated" date at the top of this page

Continued use of the Platform after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Kenya. Any legal proceedings shall be subject to the exclusive jurisdiction of Kenyan courts.
